StageAgent Terms of Service

Welcome to StageAgent.

We've written these Terms to be as clear and readable as possible. If you have questions, please contact us using the information at the end of these Terms.

These Terms of Service ("Terms") govern your access to and use of the websites, applications, educational content, subscriptions, community features, and related services made available by Estage Enterprises, Inc., doing business as StageAgent ("StageAgent," "we," "us," or "our").

By accessing or using our Services, creating an account, or purchasing a membership, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

1. About StageAgent

StageAgent is an online publishing and community platform for theatre education and the performing arts.

Our Services include theatre research materials, educational content, audition and rehearsal resources, classroom tools, subscription memberships, community features, downloadable materials, and other products and services designed to support theatre students, educators, performers, directors, theatre companies, and theatre enthusiasts.

While StageAgent provides resources that may help users discover educational and professional opportunities, StageAgent is not a talent agency, employment agency, casting agency, or educational institution, and does not guarantee auditions, casting opportunities, employment, admissions, or any particular outcome.

2. Definitions

For purposes of these Terms:

Account means the registered user account you create to access certain Services.

Content means all text, graphics, images, videos, audio, software, databases, educational materials, downloadable resources, trademarks, logos, and other materials made available through the Services, excluding User Content.

Membership means any paid subscription offered by StageAgent, including PRO Memberships and Teacher Memberships.

Paid Services means any subscription, membership, downloadable product, premium feature, or other paid offering made available by StageAgent.

Opportunity Listing means any audition notice, job posting, casting call, internship, educational opportunity, event, or similar listing submitted to the Services by a User or organization.

PRO Membership means a paid Membership providing access to premium theatre research, audition resources, and other features designated by StageAgent.

Services means the websites, applications, subscriptions, educational content, community features, StageShare™, downloadable materials, Talent Profiles, Opportunity Listings, Theatre Company Profiles, and all related products and services made available by StageAgent. ** StageShare™** means StageAgent's teacher sharing feature that allows eligible Teacher Members to generate shareable links or QR codes through which students and other authorized visitors may access designated educational materials.

Talent Profile means a public profile created by a User for showcasing theatre experience, skills, credits, education, media, or related information.

Teacher Membership means a paid Membership that includes classroom-focused features such as StageShare™, lesson plans, premium PDF downloads, and other educator resources designated by StageAgent.

Theatre Company Profile means a profile created by a theatre organization to present information about its organization, productions, opportunities, events, or related activities.

User means any individual who visits or uses the Services, whether or not they have created an Account.

User Content means any information, text, images, files, listings, profile information, media, or other content that a User submits, uploads, publishes, or otherwise makes available through the Services.

3. Acceptance of These Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a school, theatre company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

4. Eligibility

You must be at least 16 years old to create a StageAgent Account.

Individuals under the age of 16 may access certain portions of the Services only through an Account created and managed by a parent or legal guardian, or through another method expressly authorized by StageAgent.

We do not knowingly permit individuals under the age of 16 to independently create Accounts.

By creating an Account, you represent and warrant that:

you meet the eligibility requirements described in these Terms;

the information you provide is accurate and complete;

you will keep your Account information reasonably up to date; and

your use of the Services complies with all applicable laws and regulations.

We reserve the right to suspend or terminate Accounts that do not satisfy these eligibility requirements.

5. Privacy

Your privacy is important to us.

Our collection, use, disclosure, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge that your personal information will be handled as described in the Privacy Policy.

6. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, applicable law, or our business practices.

When we make material changes, we will update the Effective Date shown at the top of these Terms and, where appropriate, provide additional notice through the Services or by email.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms.

7. Accounts

To access certain features of the Services, you must create an Account. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

When creating an Account, you agree to:

Provide accurate, current, and complete information.

Keep your Account information reasonably up to date.

Maintain the security of your username and password.

Notify StageAgent promptly if you believe your Account has been accessed without authorization or otherwise compromised.

Use only one personal Account unless we expressly authorize otherwise.

You may not sell, transfer, lend, or otherwise permit another person to use your Account. We may permit certain educational or organizational account arrangements where expressly authorized by StageAgent.

We reserve the right to suspend or terminate Accounts that contain false or misleading information, violate these Terms, or otherwise create risk for StageAgent or other Users.

8. Account Security

You are responsible for maintaining the security of your Account and devices used to access the Services.

StageAgent is not responsible for losses resulting from unauthorized access to your Account caused by your failure to safeguard your login credentials or devices.

If you believe your Account has been compromised, you should immediately change your password and contact StageAgent.

9. Memberships

StageAgent offers free Accounts and paid Memberships. Features, pricing, and availability may change over time.

Current Membership offerings may include:

Basic Account (Free) -- Provides access to selected StageAgent resources and community features.

PRO Membership -- Provides access to premium theatre research materials, audition resources, educational content, advanced search tools, and other premium features designated by StageAgent.

Teacher Membership -- Includes access to PRO features together with classroom tools and educator resources designed for instructional use.

Descriptions of Membership features available on our website are provided for informational purposes. We reserve the right to modify the features and functionality of the Services at any time. During an active paid subscription, we will make reasonable efforts to preserve the overall value of the applicable Membership, except where changes are necessary for legal, security, operational, technical, or business reasons.

10. Teacher Membership Features

Teacher Memberships include educator-focused tools intended for classroom use.

These features may include, among other things:

StageShare™

Lesson plans

Premium PDF downloads

Classroom teaching resources

Learning modules

Quiz answer keys

Teacher dashboard features

Other educator resources designated by StageAgent

Certain Teacher features may be subject to reasonable usage limits, download limits, sharing limits, storage limits, expiration periods, active link limits, or similar operational restrictions designed to protect the Services and our intellectual property.

StageAgent may modify these operational limits from time to time to improve the Services, prevent abuse, or respond to changing business needs.

11. Changes to the Services

We continually improve and update the Services. Accordingly, we may introduce, remove, modify, suspend, or discontinue features, functionality, Content, or portions of the Services, including features that are no longer supported or aligned with our business objectives.

We will not intentionally remove a material feature from an active paid Membership during its current subscription period without providing a substantially comparable alternative, unless the change is reasonably necessary because of legal requirements, security concerns, licensing obligations, technical limitations, or circumstances beyond our reasonable control.

12. Fees and Payment

Certain Services require payment of subscription fees or other charges.

By purchasing a Membership or other Paid Service, you agree to pay all applicable fees, taxes, and charges associated with your purchase.

All prices are displayed in U.S. Dollars unless otherwise indicated.

Payments are processed through third-party payment processors. By submitting payment information, you authorize StageAgent and its payment processors to charge the applicable payment method for all authorized purchases and recurring subscription charges.

Certain Memberships may be purchased using purchase orders or other alternative payment methods approved by StageAgent. Additional terms or verification requirements may apply.

You are responsible for providing and maintaining valid payment information.

13. Subscription Terms and Automatic Renewal

Unless otherwise stated at the time of purchase, Paid Services are offered on a recurring subscription basis.

Your subscription will automatically renew at the end of each billing period unless you cancel before your next renewal date.

By purchasing a recurring subscription, you authorize StageAgent to automatically charge your selected payment method for each renewal term at the then-current subscription price, together with any applicable taxes.

We will provide renewal notices where required by applicable law.

If a renewal payment cannot be successfully processed, we may retry the charge, suspend or limit access to Paid Services, downgrade the applicable Membership, or terminate the subscription until payment is received.

14. Pricing and Promotional Offers

StageAgent may offer promotional pricing, discounts, introductory offers, educational pricing, coupon codes, or special promotions from time to time.

Unless expressly stated otherwise:

promotional offers are available only for the stated promotional period;

promotional pricing may not be combined with other discounts;

promotional pricing applies only to the specific offer presented; and

regular pricing will apply following the expiration of any promotional period.

We reserve the right to modify our pricing for future subscription terms. Price changes will not affect your current billing period and will become effective upon your next renewal unless otherwise required by applicable law.

15. Cancellation and Refunds

You may cancel your subscription at any time through your Account settings or by contacting StageAgent.

Cancellation prevents future automatic renewals but does not immediately terminate your subscription.

Unless otherwise stated, you will continue to have access to your Paid Services through the end of your current paid subscription period.

Monthly Memberships

Monthly Membership fees are generally non-refundable.

If you cancel a monthly Membership, your subscription will remain active until the end of the current monthly billing period, after which it will not renew.

Annual Memberships

Annual Memberships may be canceled at any time before the next renewal date.

If you request cancellation within five (5) days after an annual subscription automatically renews, StageAgent will provide a full refund of that renewal charge.

After this five-day period, annual subscription fees are generally non-refundable.

16. Subscription Changes

You may upgrade or change your Membership when those options are made available through the Services.

When changing Memberships, StageAgent may apply prorated credits, begin a new billing cycle, adjust renewal dates, or otherwise calculate charges in accordance with the billing practices presented during checkout.

StageAgent may modify its billing practices, upgrade paths, renewal timing, proration methods, and subscription management processes from time to time in order to improve the Services or accommodate new Membership offerings.

17. Taxes

Applicable taxes may be added where required by law.

You are responsible for any sales, use, value-added, goods and services, or similar taxes associated with your purchases, excluding taxes based on StageAgent's income.

18. Payment Processing

StageAgent uses third-party payment processors to securely process payments.

We do not store complete payment card numbers on our own servers.

Your payment information is subject to the privacy policies and terms of the applicable payment processor.

19. Community Features

The Services include community features that allow Users and organizations to create public profiles, publish information, share opportunities, and participate in the StageAgent community.

Community features may include, among other things:

Talent Profiles

Theatre Company Profiles

Opportunity Listings

Public profile information

User-submitted media and content

Other community features that StageAgent may introduce from time to time

Community features are intended to help Users discover educational, artistic, and professional opportunities within the theatre community.

Users are solely responsible for the information they submit through these features.

Unless expressly identified as official StageAgent editorial content, information submitted by Users represents the views of the submitting User and not those of StageAgent.

20. Talent Profiles

Users may create Talent Profiles to showcase their theatre experience, skills, education, performance history, media, resumes, and other professional or educational information.

Talent Profiles are intended to help Users present themselves to the theatre community.

Users are solely responsible for ensuring that the information contained in their Talent Profile is accurate, lawful, and does not infringe the rights of others.

StageAgent does not independently verify the identity, qualifications, experience, training, employment history, education, or other information contained in Talent Profiles.

Users may not create Talent Profiles that impersonate another individual or falsely suggest an affiliation with any person or organization.

The appearance of a Talent Profile on the Services does not constitute an endorsement, recommendation, certification, or verification by StageAgent.

21. Theatre Company Profiles

Organizations may create Theatre Company Profiles to provide information about their theatre company, productions, auditions, educational programs, events, or related activities.

Organizations are solely responsible for the accuracy of information contained in their Theatre Company Profiles. Organizations represent that they have the authority to create and manage the Theatre Company Profile on behalf of the applicable organization.

StageAgent does not verify the identity, legal status, reputation, financial condition, licensing, or legitimacy of organizations using the Services.

Users should exercise their own judgment before interacting with any theatre company or organization featured on the Services.

22. Opportunity Listings

The Services may permit Users and organizations to publish Opportunity Listings, including auditions, casting notices, jobs, internships, educational opportunities, scholarships, competitions, festivals, workshops, classes, volunteer opportunities, and similar listings.

Opportunity Listings are submitted by third parties and are not created or verified by StageAgent.

StageAgent does not investigate, screen, endorse, or guarantee:

the accuracy of Opportunity Listings;

the identity of organizations or individuals posting listings;

the availability of any opportunity;

compensation or benefits offered;

working conditions;

educational quality;

safety; or

the legitimacy of any opportunity.

Users are responsible for conducting their own due diligence before applying for, accepting, attending, paying for, or otherwise participating in any opportunity discovered through the Services.

Participation in any opportunity is solely between the User and the organization or individual offering that opportunity.

StageAgent is not responsible for disputes arising from Opportunity Listings or from interactions between Users and third parties.

23. User Interactions

Users are solely responsible for their interactions with other Users and organizations through the Services.

StageAgent does not supervise, monitor, or control communications or relationships between Users except as necessary to operate the Services or enforce these Terms.

We encourage Users to exercise reasonable caution when communicating with others, sharing personal information, arranging auditions, attending events, or engaging in financial transactions.

Any agreements, employment relationships, auditions, educational arrangements, performances, purchases, or other interactions are solely between the participating parties.

24. Reporting Violations

If you believe that a Talent Profile, Theatre Company Profile, Opportunity Listing, or other User Content violates these Terms or applicable law, you may report it to StageAgent.

StageAgent may investigate reports in its sole discretion.

We reserve the right, but have no obligation, to remove, edit, restrict, suspend, or disable any User Content or community feature that we believe violates these Terms, infringes the rights of others, creates risk for Users or StageAgent, or is otherwise inappropriate.

Our decision whether to investigate or remove content does not constitute a representation regarding the accuracy or legality of that content.

25. Ownership of the Services

The Services, including all StageAgent editorial content, educational materials, software, design, graphics, text, logos, trademarks, databases, audiovisual works, downloadable resources, and other Content made available by StageAgent, are owned by or licensed to StageAgent and are protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms, no Content may be copied, reproduced, distributed, modified, displayed, published, sold, licensed, or otherwise used without the prior written permission of StageAgent or the applicable rights holder.

Nothing in these Terms transfers ownership of any intellectual property rights from StageAgent to you.

StageAgent reserves the right to revise, update, expand, remove, or discontinue any editorial Content at any time.

26. User Content

You retain ownership of the User Content that you create and submit to the Services.

By submitting User Content, you grant StageAgent a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (solely for formatting, technical, accessibility, security, or administrative purposes), display, perform, distribute, publish, promote, and otherwise use your User Content as reasonably necessary to operate, maintain, improve, promote, and provide the Services.

This license continues for as long as your User Content remains available through the Services and for any additional period reasonably necessary to comply with legal obligations, resolve disputes, enforce these Terms, or maintain backup and archival systems.

You represent and warrant that:

you own or have all necessary rights to submit your User Content;

your User Content does not infringe the intellectual property, privacy, publicity, contractual, or other rights of any person or entity;

your User Content complies with these Terms and applicable law; and

you have obtained any necessary permissions from individuals appearing in photographs, videos, recordings, or other submitted materials where required by law.

You are solely responsible for your User Content.

27. Feedback

We welcome suggestions, ideas, comments, and other feedback regarding the Services.

If you voluntarily provide feedback to StageAgent, you agree that we may use, modify, implement, and incorporate that feedback into our Services without compensation, attribution, or restriction.

28. AI-Assisted Editorial Content

StageAgent may use artificial intelligence tools to assist its editorial staff in researching, drafting, organizing, or improving certain educational materials and other Content.

All educational Content published by StageAgent is subject to human editorial review before publication.

While we strive for accuracy, educational Content may occasionally contain errors or omissions. Users should exercise their own judgment when relying upon educational materials and are encouraged to report any suspected inaccuracies.

29. License to Use the Services

Subject to your compliance with these Terms, StageAgent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, educational, or internal organizational purposes.

This license does not permit you to:

reproduce substantial portions of the Services;

commercially exploit StageAgent Content;

redistribute premium educational materials;

remove copyright notices or proprietary markings;

use automated means to scrape or systematically collect Content;

train artificial intelligence or machine learning models using StageAgent Content without our prior written permission;

circumvent technical protections or access restrictions; or

use the Services in any manner prohibited by these Terms.

All rights not expressly granted are reserved by StageAgent.

30. StageShare™ and Classroom Use

Teacher Memberships may include access to StageShare™ and other classroom sharing features.

StageShare™ is intended to facilitate educational use by teachers and their students in accordance with the permissions granted through the applicable Teacher Membership.

Teacher Members may share StageShare links only for legitimate educational purposes and only in accordance with any usage limits, expiration periods, classroom restrictions, or other operational requirements established by StageAgent.

Teacher Members may not use StageShare™ to create publicly accessible libraries of StageAgent Content, distribute access for commercial purposes, or otherwise circumvent the intended educational use of the Services.

StageAgent reserves the right to deactivate StageShare links that violate these Terms or are used in a manner inconsistent with the intended operation of the Services.

31. Premium PDF Downloads

Certain Teacher Memberships include access to downloadable educational materials.

Unless expressly authorized by StageAgent, Premium PDF Downloads are licensed solely for the Teacher Member's own classroom and educational use.

Teacher Members may distribute downloaded materials to their own students as part of legitimate educational instruction, subject to any applicable usage limits and license restrictions.

Premium PDF Downloads may not be:

sold;

publicly posted online;

incorporated into competing products or services;

redistributed outside the Teacher Member's educational activities; or

used in any manner that infringes StageAgent's intellectual property rights.

StageAgent may establish and modify reasonable download limits, usage limits, or other operational restrictions applicable to Premium PDF Downloads.

32. Acceptable Use

You agree to use the Services responsibly and in accordance with these Terms and all applicable laws.

You may not use the Services to:

violate any applicable law or regulation;

infringe the intellectual property, privacy, publicity, contractual, or other rights of any person or entity;

impersonate another person or organization or misrepresent your identity or affiliation;

submit false, misleading, fraudulent, or deceptive information;

post unlawful, defamatory, obscene, harassing, threatening, hateful, discriminatory, or otherwise objectionable content;

distribute malware, viruses, malicious code, or other harmful software;

interfere with or disrupt the operation or security of the Services;

attempt to gain unauthorized access to any portion of the Services or related systems;

scrape, harvest, or systematically collect Content or User information without our prior written permission;

use bots or automated systems to create Accounts, submit content, or otherwise interact with the Services except where expressly authorized by StageAgent;

circumvent security measures, technical protections, or usage limitations implemented by StageAgent;

use the Services to develop or operate a competing product or service using StageAgent Content; or

use the Services for any purpose that could damage the reputation, operation, security, or integrity of StageAgent or the Services.

Users are expected to interact with others respectfully and professionally.

33. Fraud and Abuse

StageAgent reserves the right to investigate suspected fraud, abuse, unauthorized use, or violations of these Terms.

Without limiting any other remedies available to us, we may suspend, restrict, terminate, or permanently disable Accounts that we reasonably believe:

violate these Terms;

engage in fraudulent or deceptive activity;

abuse promotional offers;

circumvent subscription restrictions or usage limits;

misuse StageShare™ or Premium PDF Downloads;

infringe intellectual property rights;

interfere with the normal operation of the Services; or

otherwise create risk for StageAgent or other Users.

StageAgent may cooperate with law enforcement authorities where required or appropriate under applicable law.

34. Suspension and Termination

You may stop using the Services at any time.

StageAgent may suspend or terminate your access to some or all of the Services, with or without notice, if we reasonably determine that:

you have violated these Terms;

your use of the Services presents a security risk;

payment for Paid Services cannot be successfully processed;

your Account has been inactive for an extended period;

we are required to do so by law; or

suspension or termination is otherwise reasonably necessary to protect StageAgent, our Users, or the integrity of the Services.

Termination of your Account does not relieve you of any payment obligations incurred before termination.

Any provisions of these Terms that by their nature should survive termination---including intellectual property provisions, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law---will survive termination.

35. Effect of Account Termination

If your Account is terminated or deleted:

your right to access Paid Services will end in accordance with your applicable subscription rights;

your Talent Profile, Theatre Company Profile, Opportunity Listings, and other User Content may be removed from public view;

StageAgent may retain certain information as required by law, for legitimate business purposes, to resolve disputes, enforce these Terms, or as otherwise described in our Privacy Policy.

Account termination does not require StageAgent to maintain or provide copies of User Content except where required by applicable law.

36. Disclaimers

The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law.

While StageAgent strives to provide accurate, reliable, and up-to-date educational resources and Services, we do not warrant or guarantee that:

the Services will always be available, uninterrupted, secure, or error-free;

any Content is complete, accurate, or current;

any educational materials are free from errors or omissions;

any Opportunity Listing is accurate, legitimate, or available;

any Talent Profile or Theatre Company Profile is accurate or authentic; or

use of the Services will result in auditions, employment, admissions, educational outcomes, or any other particular result.

Educational Content is provided for informational and educational purposes only and should not be considered professional legal, educational, employment, financial, or other professional advice.

Except to the extent prohibited by law, StageAgent disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you.

37. Limitation of Liability

To the fullest extent permitted by applicable law, StageAgent and its officers, directors, employees, contractors, licensors, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Services.

This limitation applies regardless of the legal theory under which a claim is brought, including contract, tort (including negligence), strict liability, or otherwise.

To the fullest extent permitted by applicable law, StageAgent's total cumulative liability arising out of or relating to the Services shall not exceed the greater of:

the amount you paid to StageAgent during the twelve (12) months immediately preceding the event giving rise to the claim; or

one hundred U.S. dollars (US \$100).

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

38. Indemnification

You agree to defend, indemnify, and hold harmless StageAgent and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

your use of the Services;

your User Content;

your violation of these Terms;

your violation of applicable law; or

your infringement of the rights of any third party.

StageAgent reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that matter.

39. Copyright Infringement (DMCA)

StageAgent respects the intellectual property rights of others and expects Users to do the same.

If you believe that material available through the Services infringes your copyright, you may submit a notice requesting removal of the allegedly infringing material in accordance with the Digital Millennium Copyright Act ("DMCA").

Your notice should include:

identification of the copyrighted work claimed to have been infringed;

identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it;

your name, mailing address, telephone number, and email address;

a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

a statement, under penalty of perjury, that the information contained in the notice is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner; and

your physical or electronic signature.

StageAgent reserves the right to remove or disable access to allegedly infringing material, terminate the Accounts of repeat infringers where appropriate, and otherwise comply with the requirements of the DMCA and other applicable intellectual property laws.

40. Miscellaneous

Governing Law

These Terms and any dispute arising out of or relating to the Services shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

Venue

Unless otherwise required by applicable law, any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Mateo County or Santa Clara County, California, and each party irrevocably consents to the jurisdiction of those courts.

Export Controls and Sanctions

You agree to comply with all applicable United States export control, economic sanctions, and trade laws and regulations in connection with your use of the Services. You may not access or use the Services if doing so would violate those laws or regulations.

Electronic Communications

By creating an Account or otherwise using the Services, you consent to receive electronic communications from StageAgent, including notices regarding your Account, subscriptions, transactions, updates to the Services, and these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
